These Terms of Service and End-User License Agreement ("Terms") govern your use of Finance OS, a financial reporting and advisory dashboard service provided by ScaleLab CFO ("we," "us," or "our"). By connecting your accounting system or using the service, you agree to these Terms.
Finance OS provides financial statements, dashboards, key metrics, forecasts, and advisory insights generated from your accounting data, including data accessed from QuickBooks Online with your authorization.
You represent that you are authorized to connect the QuickBooks Online company you connect and to allow us to access its data. You are responsible for the accuracy and completeness of the data in your accounting system, and for maintaining the security of your own accounts.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the service for your internal business purposes during your engagement with us. You may not resell, sublicense, reverse-engineer, or misuse the service.
We access your QuickBooks Online data on a read-only basis and do not modify, create, or delete records in your accounting system.
The service provides decision-support information and estimates derived from your accounting data. Figures and projections are estimates and may be revised as your books close. The service is not a guarantee of future results and does not constitute tax, legal, audit, accounting, or investment advice. You should consult qualified professionals before making decisions based on the information provided.
The service is provided on an "as is" and "as available" basis, to the maximum extent permitted by law, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any figure, forecast, or insight will be accurate or complete. You are responsible for reviewing the information and for your own business decisions.
To the maximum extent permitted by law, ScaleLab CFO will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from your use of, or reliance on, the service. Our total liability for any claim relating to the service is limited to the fees you paid us for the service in the three months preceding the claim.
Our handling of your data is described in our Privacy Policy, which is incorporated into these Terms.
Either party may terminate at any time. You may disconnect the QuickBooks connection from your Intuit account settings at any time. Upon termination, we will cease accessing your data and delete it as described in the Privacy Policy.
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules.
We may update these Terms from time to time. The "Effective" date above reflects the most recent version; continued use after changes constitutes acceptance.
